Terms of Use
1. About these terms
These Terms of Use apply each time you access or use the NHM QuoteLogic platform ("QuoteLogic"). They are issued by NH Maintenance Ltd, whose registered office is at Consort House, Jubilee Road, West Sussex, RH15 9TL, United Kingdom.
By signing in to QuoteLogic, you confirm that you have read these terms and that you agree to them. If you do not agree, please do not use the platform and let your line manager know.
2. The platform
QuoteLogic is an internal quoting platform used by NHM staff to prepare, issue and track repair quotes for NHM customers. It is built and operated for NHM by Red Eagle Tech ("Powered by Red Eagle Tech") under a written services agreement between NHM and Red Eagle Tech.
QuoteLogic is provided as a tool for NHM business only. It is not for personal use, and it is not offered to the general public.
3. Your right to use QuoteLogic
Red Eagle Tech grants NHM a non-exclusive, non-transferable licence to use QuoteLogic for NHM's internal business. NHM, in turn, allows you to use QuoteLogic while you are an authorised NHM user (typically while you are employed by, or engaged by, NHM and your account is enabled).
Your right to use QuoteLogic is personal to you. You may not transfer it, share it, sub-licence it, or let anyone else use your account.
4. Acceptable use
You may use QuoteLogic to:
- Create, edit, send and track quotes for NHM customers as part of your job.
- View and update master data within the limits of your role and the integration with other NHM systems.
- Configure your account preferences (such as theme), notifications and any personal settings.
- Use the platform's help, settings and integration dashboard features for their intended purposes.
5. Prohibited use
You must not:
- Share your sign-in credentials with anyone, or let anyone else use your account.
- Use QuoteLogic for any purpose other than NHM business.
- Attempt to copy, modify, decompile, disassemble, reverse engineer or extract the source code of QuoteLogic or any of its components.
- Scrape, harvest or bulk-export data from QuoteLogic except through features provided for that purpose.
- Use QuoteLogic to send unsolicited communications, "spam", or any content that is misleading, defamatory, unlawful, offensive or in breach of any third party's rights.
- Probe, scan, test or attack the platform's security, or attempt to gain unauthorised access to data, accounts or systems. Security researchers can use Red Eagle Tech's Vulnerability Disclosure Programme to report suspected vulnerabilities safely.
- Introduce malware, ransomware or other malicious code, or otherwise interfere with the operation or integrity of the platform.
- Circumvent or attempt to circumvent any access controls, audit logging, rate limiting or other technical safeguards.
- Use QuoteLogic in any way that breaches applicable law, NHM's internal policies (including the staff IT acceptable-use policy), or your contract with NHM.
6. Account security
You agree to:
- Keep your sign-in credentials and multi-factor authentication codes confidential.
- Sign out, or lock your device, when stepping away.
- Tell NHM and Red Eagle Tech promptly (using the contacts in section 15) if you suspect your account has been compromised or has been used by someone else.
- Use only NHM-approved devices and networks to access QuoteLogic where NHM requires this.
7. Intellectual property
All intellectual property rights in QuoteLogic - including the software, source code, object code, designs, documentation, branding elements provided by Red Eagle Tech (such as the "Powered by Red Eagle Tech" mark), and any derivative works - are owned by Red Eagle Tech Ltd. Nothing in these terms transfers any of those rights to you.
NHM's branding (including the NHM name, logo and marks) remains owned by NHM.
Personal data and business records that NHM (or you on NHM's behalf) put into QuoteLogic remain NHM's data. Red Eagle Tech processes that data on NHM's behalf under the agreement between them, as explained in the Privacy Notice.
The "Powered by Red Eagle Tech" attribution shown in the QuoteLogic interface and referenced in these terms and the Privacy Notice is included as required by the services agreement between NHM and Red Eagle Tech, and does not diminish NHM's primary branding.
8. Data protection
How NHM uses personal data in connection with QuoteLogic is explained in the Privacy Notice. NHM is the controller of personal data processed through QuoteLogic; Red Eagle Tech is the processor. Please read the Privacy Notice - it forms part of your understanding of these terms.
9. Confidentiality
Information visible to you in QuoteLogic - including customer details, pricing, quotes, jobs, assets, internal configuration and audit data - is NHM's confidential business information. You must:
- Use that information only to do your job and for no other purpose.
- Not disclose it to anyone outside NHM unless your role and NHM policy permit it.
- Comply with NHM's wider confidentiality and information-handling policies.
These obligations sit alongside any confidentiality obligations in your contract with NHM.
10. No warranties
QuoteLogic is provided "as is" for internal use. NHM and Red Eagle Tech do not give any warranty, express or implied, that the platform will be uninterrupted, error-free, or fit for any particular purpose beyond its intended use. Quote pricing in QuoteLogic is a tool to assist you; the final quote sent to a customer is your responsibility to review and confirm.
11. Limitation of liability
Nothing in these terms limits or excludes any liability that cannot lawfully be limited or excluded - including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, and any statutory liabilities that cannot be limited.
Subject to that, to the maximum extent permitted by law neither NHM nor Red Eagle Tech is liable to you in connection with QuoteLogic for:
- any indirect or consequential loss;
- any loss of profits, business, revenue, goodwill, or anticipated savings;
- any loss of data (beyond what Red Eagle Tech's backup and recovery arrangements provide for under its agreement with NHM); or
- any liability arising from your breach of these terms or your misuse of the platform.
Nothing in this section affects your rights, or NHM's obligations to you, under your employment or engagement contract with NHM, or under employment law.
12. Suspension and termination of access
NHM (or, on NHM's instruction, Red Eagle Tech) may suspend or terminate your access to QuoteLogic at any time, with or without notice, if:
- you stop being an authorised NHM user (for example, when your employment or engagement with NHM ends);
- NHM believes on reasonable grounds that you have breached these terms or any NHM policy;
- there is a security risk associated with your account that warrants immediate suspension; or
- NHM needs to do so to comply with the law, a regulator's request, or a court order.
When your access ends, your account will be disabled. Data created or held in your name remains NHM's, and will be retained or deleted in accordance with the Privacy Notice.
13. Changes to these terms
We may update these Terms of Use from time to time - for example, to reflect new features, to update contact details, or to keep pace with changes in the law. The "Last updated" date at the top of this page always shows when the latest version took effect. Where changes are material, we will tell you in good time before they take effect.
14. Governing law and disputes
These Terms of Use, and any non-contractual obligations arising in connection with them, are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction to resolve any dispute arising in connection with these terms.

QuoteLogic is powered by Red Eagle Tech. Red Eagle Tech Ltd is the developer of the platform and provides it to NHM under a written services agreement. Red Eagle Tech retains ownership of the underlying software and intellectual property in QuoteLogic; NHM retains ownership of its data and its branding.
